# STRIKEBIT - EVALUATION TERMS AND CONDITIONS

Version 2.1 · Effective \[DATE] · Supersedes the Terms and Conditions dated 26 June 2026

### 1. WHAT YOU ARE BUYING - READ THIS FIRST

This section prevails over every other part of these Terms, over the Site, and over any marketing material.

1.1 StrikeBit operates a software platform on which you may purchase access to a trading evaluation.

1.2 All trading on the StrikeBit platform is simulated. This applies at every stage, including the Evaluation Stage and the Funded Stage. No order you place is sent to, matched on, or executed at any exchange, trading venue or counterparty.

1.3 The prices are real; the execution is not. Prices are derived from live market data for USDT perpetual futures, so your results reflect real market movement. This does not mean your orders reach a market.

1.4 The balances, equity, margin, positions, profit, loss, leverage and drawdown shown to you are notional units used to measure performance. They are not money, are not assets owned by or held for you, and cannot be withdrawn, transferred, pledged or assigned.

1.5 You never deposit trading capital. The Access Fee is the only money you pay us and the only money you can lose. We do not accept deposits, investments or client funds.

1.6 “Funded account” is a product name. It means a simulated account with a larger notional balance and an entitlement to Rewards. It does not mean capital is placed under your ownership, custody or control.

1.7 Rewards are paid in USDT from the Reward Provider’s own funds when you satisfy the conditions in the Funded Account and Reward Agreement. They are not returns on an investment.

1.8 We are not a broker, exchange, dealer, asset manager, investment adviser, portfolio manager, custodian, bank, payment institution or fiduciary. Nothing here is investment, financial, legal or tax advice, an offer of securities, or a solicitation to trade virtual assets.

### 2. DEFINITIONS

### 3. WHO YOU ARE CONTRACTING WITH

3.1 These Terms are between you and StrikeBit FZ-LLC (RAKEZ, UAE), which operates the Platform, sells Evaluations and receives Access Fees.

3.2 If you reach the Funded Stage you will enter a separate agreement with StrikeBit Global Ltd (BVI), which provides the Funded Account and pays Rewards. Different company, different contract. Passing an Evaluation creates no obligation on the Reward Provider until that agreement is signed.

3.3 Both companies are under common ownership. Neither is licensed or regulated by any financial services regulator, and neither holds itself out as being so.

### 4. ELIGIBILITY

4.1 To register you must:

1. be at least 18 years old, or the age of majority where you live if higher;
2. have legal capacity to enter into these Terms;
3. not be resident in, and not be accessing the Services from, a Restricted Territory; and
4. not be a Designated Person, and not be owned or controlled by a Designated Person.

4.2 Nationality is not a criterion. We do not restrict access on the basis of your citizenship, passport, place of birth or ethnic origin. Eligibility depends on where you live and where you are, and on sanctions screening against named individuals and entities.

4.3 Accounts are for personal use by a natural person. Registration in the name of a legal entity is not permitted. Invoices are issued to, and Rewards paid only to, the registered user.

4.4 We may refuse any application at our discretion.

### 4A. HOW WE MAKE THE SERVICES AVAILABLE

4A.1 Target Markets. We actively market the Services in the markets listed in Schedule 3 (“Target Markets”).

4A.2 Everywhere else, the Services are available passively. Outside a Target Market and outside a Restricted Territory, the Services are made available only to persons who approach us on their own initiative. We do not direct marketing at, solicit customers in, or target any non-Target Market.

4A.3 What that means in practice. In a jurisdiction that is not a Target Market, we do not:

1. run paid advertising, sponsorship or influencer promotion directed at that jurisdiction;
2. publish landing pages, campaigns or product copy in a language for the purpose of reaching that jurisdiction;
3. price in its local currency or display local-currency equivalents;
4. offer local payment methods or local bank rails;
5. contract affiliates or partners to promote the Services there, and our Affiliate Agreement prohibits it;
6. attend, sponsor or exhibit at events aimed at that jurisdiction; or
7. operate a local entity, local phone number, local address or local-language support line for it.

4A.4 Your own initiative. If you access the Services from a jurisdiction we do not target, you do so on your own initiative. You are responsible for satisfying yourself that your use of the Services complies with the law where you live, and clause 12.4 applies if you have made a false declaration of Residence.

4A.5 We may add or remove Target Markets. Schedule 3 records the position at the date of these Terms.

### 5. ACCESS FEES AND PAYMENT

5.1 Access to an Evaluation requires payment of the Access Fee published on the Pricing Page.

5.1A Before payment you are shown an order confirmation screen setting out the Evaluation you are buying, the Access Fee, and the country you declare as your Residence. You must confirm that declaration and accept these Terms, the Risk Disclosure and the Refund Policy on that screen before you are taken to the payment page. We record what you confirmed, when, and the version of each document shown to you.

5.2 Fees are payable in USDT or USDC on the networks listed at checkout. You bear network fees.

5.3 Payment is consideration for access to the Platform and the Evaluation service. It is not a deposit, a stake, a subscription for securities, or an investment.

5.4 Refunds are governed by the Refund Policy, which forms part of these Terms.

5.5 You are responsible for any tax arising on any Reward you receive.

### 6. THE EVALUATION

6.1 The Programme Rules at docs.strikebit.xyz set out profit targets, daily loss limits, maximum drawdown, minimum profit days, leverage, fees, instruments and platform mechanics. They form part of these Terms.

6.2 We may amend the Programme Rules. Amendments apply to Evaluations purchased after the amendment takes effect. An Evaluation already activated is governed by the rules in force when it was activated, except where an amendment is required by law or corrects a manifest error.

6.3 Risk limits are enforced automatically and in real time. A breach ends the Evaluation, closes open simulated positions, cancels pending orders and closes the Account.

6.4 Breaching a risk limit is not a penalty and does not imply wrongdoing. It ends that Evaluation. You may purchase another.

6.5 An Account with no trading activity for 30 consecutive days closes permanently. Warnings are sent on day 20 and day 27.

### 7. PASSING AN EVALUATION

7.1 On satisfying the published objectives you become eligible to apply for the Funded Stage.

7.2 Eligibility is conditional on completing both of the following when your Funded Account is activated: (a) accepting the Funded Account and Reward Agreement; and (b) completing identity verification under clause 9. Until both are complete the Funded Account is not tradeable.

7.3 Where we decline to open a Funded Account for a reason that is neither a published eligibility criterion nor a breach by you, the Access Fee for that Evaluation is refunded in full under the Refund Policy. This does not apply where the decline arises from a sanctions or politically-exposed-person match, fraud, or a false declaration.

7.3A Where you pass an Evaluation and your Funded Account is not activated because identity verification could not be completed, the Access Fee for that Evaluation is refunded under clause 2.6 of the Refund Policy. This does not apply where the failure arises from fraud, a false declaration, a sanctions or politically-exposed-person match, or your refusal to provide a document you hold.

7.3A Where you pass an Evaluation and your Funded Account is not activated because identity verification could not be completed, the Access Fee for that Evaluation is refunded under clause 2.6 of the Refund Policy. This does not apply where the failure arises from fraud, a false declaration, a sanctions or politically-exposed-person match, or your refusal to provide a document you hold.

### 8. YOUR ACCOUNT

8.1 One person, one identity, one set of Accounts. Accounts are personal and may not be shared, sold, transferred or operated by anyone else.

8.2 Keep your credentials secure and tell us promptly of any unauthorised access.

8.3 You must trade from a unique IP address assigned to you where the Programme Rules require it.

8.4 We may use device fingerprinting, IP analysis and behavioural analytics to detect multi-accounting and coordinated activity.

### 9. VERIFICATION, RESIDENCE, AML AND SANCTIONS

9.1 We operate AML, KYC and sanctions screening policies.

9.2 No identity documents are required to register or to purchase an Evaluation. Verification is required before you may enter the Funded Stage or receive any Reward.

9.3 Verification requires government-issued photo identification, and is carried out when your Funded Account is activated, before you place your first trade on it. We may also require a live selfie or short video to confirm the document is yours.

9.4 Residence is declared by you, not evidenced by your identity document. You declare your Residence when you purchase an Evaluation, on the order confirmation screen, before payment. You confirm that declaration when you request payment of a Reward — by confirming what we already hold, not by entering it again. Where you purchase a further Evaluation, you confirm it again at that point. A passport from a Restricted Territory does not disqualify you where your Residence is elsewhere. Your identity document shows a citizenship; that citizenship is not used to decide whether you may use the Services or be paid.

9.4A You must keep your declared Residence accurate and tell us within 14 days if it changes. Declaring a Residence that is not genuine is a material breach under clause 12.4, and a ground for withholding a Reward.

9.5 We screen users against sanctions and politically-exposed-person lists by name, and may re-verify at any time on reasonable grounds.

9.6 If you do not complete verification within 30 days of your Funded Account being made available to you, the Funded Account is not activated and may be withdrawn. Where the failure is not due to fraud, a false declaration, a sanctions or politically-exposed-person match, or your refusal to provide a document you hold, the Access Fee is refunded under clause 2.6 of the Refund Policy. Failure to complete verification also remains a ground for withholding a Reward under the Funded Account and Reward Agreement.

9.7 We may screen incoming and outgoing blockchain addresses using analytics providers and may decline any payment or Reward to an address associated with sanctioned or illicit activity.

### 10. PROHIBITED TRADING PRACTICES

10.1 You must not:

1. exploit errors, latency, delays or inaccuracies in our price feed or platform;
2. engage in gap arbitrage across weekend or session breaks;
3. place trades below the duration threshold in the Programme Rules with the purpose of exploiting execution mechanics;
4. exceed the daily order limit in the Programme Rules;
5. use third-party signal services or external copy-trading (your own automated systems are permitted, subject to the Programme Rules);
6. operate more than one identity, or coordinate Accounts with others, to obtain an outcome not obtainable on a single Account;
7. hedge positions across Accounts, Evaluations or users so that combined exposure is materially offset;
8. allow any other person to access or trade your Account; or
9. engage in fraud, misrepresentation or manipulation.

10.2 Consequences. Where we determine, acting reasonably and on evidence, that a Prohibited Trading Practice has occurred, we may disqualify the affected trades and any results derived from them; fail the affected Evaluation; and, where the practice is deliberate and material, close the Account.

10.3 We will notify you of any determination, state the ground and evidence relied on, and give you 14 days to respond before it becomes final.

### 11. INTELLECTUAL PROPERTY

11.1 The Platform, software, brand, documentation and content are owned by or licensed to StrikeBit. You receive a personal, non-transferable, revocable licence to use the Platform for the Evaluation.

11.2 You may not copy, reverse engineer, scrape, resell or make the Platform available to any third party.

11.3 Market data displayed on the Platform is licensed from third parties and may not be redistributed.

### 12. RESTRICTED TERRITORIES AND SANCTIONS

12.1 We do not offer the Services to any person resident in, or accessing the Services from, a Restricted Territory listed in Schedule 1.

12.2 Citizenship is not a restriction. If you hold the citizenship of a Restricted Territory but are lawfully resident elsewhere, you are eligible to use the Services, subject to your declaration of Residence under clause 9 being genuine and to clause 12.5.

12.3 How we enforce clause 12.1. IP-based geo-restriction on traffic from every Restricted Territory, applied at registration, at login and at checkout; a declaration of Residence made when you purchase an Evaluation, which you confirm again when you request payment; logging of the IP addresses from which you register, log in, purchase and trade; and identity and sanctions screening before a Funded Account is activated, with ongoing re-screening thereafter.

12.3A Where the IP addresses recorded on your Account are materially inconsistent with your declared Residence, we may ask you for documentary proof of Residence before paying a Reward, and may withhold payment until you provide it.

12.4 Accessing the Services from a Restricted Territory, or declaring a Residence that is not genuine, is a material breach. We may close the Account without notice. Where the Account is closed solely because of a change to Schedule 1 and you made no false declaration, the Access Fee is refunded; where a false declaration was made, it is not.

12.5 Sanctions override everything in this clause. We will not provide the Services to a Designated Person, or to any person where doing so would breach a sanctions regime, regardless of Residence. This is a screening of named persons and entities, not of nationalities.

12.6 We may update Schedule 1. Changes take effect on publication and apply to new purchases. Where a change makes an existing user ineligible through no fault of their own, any Reward already earned remains payable, subject to sanctions law.

### 13. NO ADVICE, NO GUARANTEE

13.1 Nothing we provide is investment, financial, legal or tax advice.

13.2 Simulated performance does not guarantee performance in real markets. Most participants do not pass an Evaluation.

13.3 We make no representation that you will pass, receive a Funded Account, or receive any Reward.

### 14. LIMITATION OF LIABILITY

14.1 Nothing limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any liability that cannot lawfully be limited.

14.2 Subject to 14.1, our total aggregate liability is limited to the greater of (a) the Access Fees you paid us in the 12 months before the claim, and (b) USD 1,000.

14.3 We are not liable for indirect or consequential loss, or loss of profit, opportunity or anticipated Rewards - except where a Reward is payable under the Funded Account and Reward Agreement and has been withheld in breach of it.

14.4 We are not liable for losses caused by your breach, third-party market data errors outside our control, or force majeure.

### 15. PLATFORM AVAILABILITY AND ERRORS

15.1 We do not guarantee uninterrupted availability.

15.2 Where an outage, pricing error or data-feed failure materially affects an Evaluation, we will at our election either refund the Access Fee or provide a free reset, at your preference where reasonably practicable.

15.3 We may correct manifestly erroneous simulated results caused by a pricing or data error, and will notify you with reasons.

### 16. TERM AND TERMINATION

16.1 These Terms apply from registration until your Account closes.

16.2 You may close your Account at any time. Closure creates no right to a refund except under the Refund Policy.

16.3 We may suspend or terminate for material breach, on the grounds in clause 10, on failure to verify, or where required by law - with notice and reasons except where notice would prejudice an investigation or breach sanctions law.

16.4 Clauses 1, 11, 14, 17, 18 and 19 survive.

### 17. AMENDMENTS

17.1 Material amendments take effect 14 days after notice to your registered email or on the Site.

17.2 Amendments do not apply retrospectively to a live Evaluation (clause 6.2) or to a Reward already earned.

17.3 If you do not accept a material amendment you may close your Account before it takes effect.

### 18. GOVERNING LAW

18.1 These Terms and any non-contractual obligations arising from them are governed by the laws of the United Arab Emirates, as applied in the Emirate of Ras Al Khaimah.

18.2 Where you are a consumer, this does not deprive you of the protection of any mandatory consumer law of the country where you are resident.

### 19. DISPUTE RESOLUTION

19.1 Talk to us first. Written notice of dispute to <cs@strikebit.xyz> describing the issue and the outcome you want. We respond within 14 days; both parties negotiate in good faith for 30 days.

19.2 Small claims. Where the amount in dispute is USD 10,000 or less, either party may instead go to the courts of Ras Al Khaimah, or you may use any consumer dispute scheme available where you live. Arbitration is not required.

19.3 Arbitration - customers outside the United States. Above USD 10,000 and unresolved under 19.1: arbitration under the Rules of the Dubai International Arbitration Centre (DIAC), sole arbitrator, seated in the Dubai International Financial Centre, in English.

19.4 Arbitration - customers resident in the United States. Where you are resident in the United States, any dispute above USD 10,000 shall be resolved by binding arbitration administered by JAMS under its applicable rules, before a sole arbitrator, seated in New York, New York, in English. Where you are a consumer, the arbitration is administered under the JAMS Consumer Arbitration Minimum Standards, and StrikeBit will pay all JAMS filing, administrative and arbitrator fees in excess of the consumer filing fee capped by those Standards. The arbitration may be conducted by telephone, videoconference, on documents only, or at a location in your home district, at your election. Any court of competent jurisdiction may enter judgment on the award.

19.5 Individual basis. Disputes are resolved individually. To the extent permitted by law you waive participation in class, collective or representative proceedings. If this waiver is unenforceable, the dispute goes to court rather than arbitration.

19.6 Either party may seek urgent injunctive relief.

### 20. AFFILIATES

20.1 Affiliate participation is governed by the Affiliate Agreement.

20.2 Affiliates are independent contractors, not agents. They may not make income claims, guarantee outcomes, describe the Notional Balance as real capital, or promote the Services to residents of a Restricted Territory.

20.3 Commission is payable on completed sales only, on a single tier. We do not pay for recruitment, sign-ups, downline volume, or the recruitment of other affiliates.

### 21. COMPLAINTS

21.1 Complaints to <cs@strikebit.xyz>. Acknowledged within 2 business days, substantive response within 14 days with reasons.

21.2 We maintain a complaints log.

### 22. DATA PROTECTION

Governed by the Privacy Policy.

### 23. FORCE MAJEURE

Neither party is liable for failure caused by events beyond reasonable control. Where force majeure affects simulated results, clause 15 applies.

### 24. ASSIGNMENT

24.1 You may not assign your rights.

24.2 We may assign or novate our rights and obligations to any affiliate or successor, including on a reorganisation of the StrikeBit group, on 14 days’ notice to your registered email. Your rights are unaffected.

24.3 You acknowledge that the StrikeBit group is completing a corporate reorganisation and that these Terms may be novated to StrikeBit FZ-LLC (RAKEZ) and StrikeBit Global Ltd (BVI). Rewards earned before novation remain payable.

### 25. GENERAL

25.1 These Terms, the Programme Rules, the Refund Policy and the Privacy Policy are the entire agreement. 25.2 If any provision is unenforceable, the rest survives. 25.3 No waiver by failure to enforce. 25.4 No partnership, joint venture, employment or agency. 25.5 The English version prevails. 25.6 These Terms prevail over the Site; clause 1 prevails over these Terms.

Not restricted: United States, United Kingdom, all EEA member states - served on a passive basis under clause 4A.

The United Kingdom and the EEA are deliberately kept passive. This is a founder decision of 2 September 2026, not an oversight and not a temporary state pending capability. StrikeBit does not market to those territories, does not publish content in any EEA language, does not price in euros or sterling, does not operate fiat rails into them, and does not appoint partners to work them. Arrivals from those markets are on the customer’s own initiative. If that position ever changes, the decision carries with it a licensing question and the appointment of representatives under Article 27 of the GDPR and its UK equivalent.
